Dispatch Service Agreement

Fee schedule
- Days 1–14: Free — 0% dispatch fee on loads Shoreway books and you accept.
- Day 15 onward: 5% of gross on loads Shoreway books and you accept, unless both sides agree a different ongoing rate in writing before it applies (typically 5–9% by volume).
1. Parties & relationship
Shoreway Logistics LLC ("Dispatcher") and the motor carrier submitting intake ("Carrier"). Dispatcher is an independent contractor and bona fide agent of Carrier for dispatch services only, as appointed in the Bona Fide Agent Appointment. Carrier remains motor carrier of record. Dispatcher is not a freight broker.
2. Services
Load search on Carrier's authorized boards, rate negotiation, packets, rate cons, status support, and Carrier-authorized location information — subject to Carrier approval on loads.
3. DAT / load-board access (required)
Shoreway needs working DAT access before booking. You provide it by securely sharing login after intake (never on this website) or by adding austin@shorewaylogistics.com as a DAT seat. If you do not have DAT yet, you obtain it and add that seat before the first load. Access ends on termination — revoke seats and rotate passwords.
4. ELD / location access
If you use an ELD or equivalent tracker, you grant Shoreway location/share access so we can see the truck for dispatch. You remain responsible for hours-of-service logs. Shoreway is not your ELD. If you have no ELD, you are not required to buy one.
5. Compensation
First 14 days free (0% fee) on loads Shoreway books and you accept. From day 15, 5% of gross applies unless both sides agree a different rate in writing. Invoiced weekly; Net 7 or Net 14.
6. Who pays the dispatcher
You pay Shoreway directly. Shoreway cannot take the dispatch fee from a broker or a factoring company — FMCSA treats that as brokerage. Freight still pays you (or your factor). The factor may collect your linehaul; they do not pay Shoreway.
7. Onboarding packet
Before we book: signed dispatch agreement, bona fide agent appointment, and Limited Power of Attorney; COI (liability + cargo); signed W-9; your FMCSA MC authority certificate; a completed carrier profile sheet in the portal; and a factoring NOA if you factor (or a voided check if you don't). You also sign a short certification that those uploaded copies are true and current. The authority certificate, Limited POA, and packet certification are required — not optional.
8–11. Obligations, term, liability, e-sign
Carrier maintains authority and insurance; provides DAT access and ELD location share when applicable; 7-day written termination; Florida law; electronic signatures via intake checkbox/typed name and Shoreway countersignature email. Full text is also stored in the Carrier Portal under Documents.
